FERRERE's team in Paraguay worked with Darling Ingredients, Inc. a leader in the transformation of food waste into sustainable products and a producer of renewable energy, on the acquisition of Gelnex, a Brazilian producer of gelatin and collagen.
Darling Ingredients acquired six facilities as part of the transaction (five in South America, one in the United States) with the capacity to produce 46,000 metric tons per year of gelatin and collagen products.
According to Randall C. Stuewe, the company's president and CEO, "this acquisition gives Darling immediate capacity to serve the growing needs of its collagen customers, while continuing to serve the growing gelatin market."
FERRERE's work included due diligence of Gelnex's Paraguayan entity, owner of one of the main animal gelatin manufacturing plants, as well as the drafting of a due diligence report. This process involved work on corporate, regulatory, real estate, environmental, financial and litigation aspects.
FERRERE also advised Darling in the review and drafting of the main documents with reference to the transaction (SPA and Disclosure Letter, among others).
FERRERE's advice was led by partner Verónica Franco and senior associate Raúl Pereira, together with a large team of professionals, including Marcelo Rodríguez, Martín Parra and Mateo Román.
