FERRERE advised UIPPL Libertad S.A., a Special Purpose Company, managed by construction companies Saceem, Teyma, and Ciemsa, on the realization of a public-private partnership (PPP) agreement with the Ministry of the Interior for the development of a rehabilitation center to be built in the department of San José (Uruguay).
The project includes the funding, construction, maintenance, and operation of three new detention units for individuals deprived of liberty, each with a capacity of 460 places, as well as a health center and common spaces for workshops and recreation.
The construction of the complex will take between 16 and 18 months, and once completed, UIPPL Libertad S.A. will be responsible for its operation and maintenance for 15 years. This project, which will be funded by a loan of USD 75 million from Banco Santander and Banco República Oriental del Uruguay (BROU), will expand the capacity of the Uruguayan correctional system.
The firm’s work, which included advising on the negotiations of the PPP contract, as well as on the agreements for construction, operation, and funding, was coordinated with the in-house lawyers of the three construction companies: Augusto Formento (Ciemsa), Nicolás Horta (Teyma) and Federico Gianero (Saceem).
