FERRERE advised one of the biggest agribusiness players in Paraguay on acquisition of the full share package of Colonización y Transformación Agraria S.A. (CYTASA), a Paraguayan company engaging in farm activities. This transaction took place in the disinvestment process of the company’s two shareholders: Empresa de Transformación Agraria S.A. (TRAGSA) and Tecnologías y Servicios Agrarios S.A. (TRAGSATEC).

The disinvestment of 100% of CYTASA shares took place in a public auction process handled by Sociedad Estatal de Participaciones Industriales (SEPI), with the advice of Metyis, given that both shareholders are government corporations of the Kingdom of Spain.

FERRERE’s advice included comprehensive legal support to the buyer throughout the transaction, including the due diligence stage, the acquisition and closing process, as well as tax issues. FERRERE also played a key role in liaising with the Spanish law firm Cuatrecasas, on matters of capacity and authority under Spanish law. FERRERE will continue advising the buyer on all post-closing matters.
