The FERRERE Bolivia team advised HIG Capital, a global alternative investment group, on the acquisition of the logistics provider Grupo Ransa, which involved taking a majority stake in Ransa Operador Logístico Bolivia S.A.
FERRERE’s advice included, inter alia:
- The due diligence process prior to closing the deal.
- Review of relevant transaction documents.
- Follow-up and confirmation of compliance with the transaction’s Conditions Precedent.
The purpose of the agreement, for HIG Capital, is to consolidate its position in the Latin American market, by acquiring the different brands held by Grupo Ransa in important regional markets, fundamentally related to logistics. In addition to Bolivia, Grupo Ransa is present in Peru, Colombia and Ecuador, along with several Central American companies, employing approximately 7,000 collaborators.
HIG Capital, in turn, invests in corporate acquisitions, recapitalizations and carve-outs. Founded in 1993, it has a portfolio of over 100 companies and 45 billion dollars in equity capital under management.
The transaction, which closed with a bank loan, concluded on October 29.
FERRERE’s advice was led by the director of its Bolivia office, Diego Villarroel, together with a broad team of practitioners, including the senior associates Pablo Heredia, Jorge Palza and Mauricio Viscarra.
