A FERRERE multidisciplinary team advised Bunge and UPL on a regional transaction in which they acquired, jointly, a minority stake in the Brazilian company Seedcorp, which offers solutions for the farm sector.
The acquisition is pending approval by the competent authorities in Brazil and Uruguay.
Under the agreement, each of the acquirers will obtain 20% of Seedcorp shares, owned by the Uruguayan holding company Hosemillas. The purchasers’ purpose is to expand their business portfolio, while at the same time strengthening their positions in the Brazilian market and stepping up their presence in the region, where UPL and Bunge already have operations in Argentina, Paraguay and Uruguay.
FERRERE’s work, led by partner Santiago Fontana, included all aspects of the Uruguayan company’s due diligence, review of local aspects of the transaction agreements, as well as advice on competition issues.
