On July 30, 2021, by N.S. No. 1,638, the Supreme Court of Justice approved the unification of the sections "Legal Entities" and "Public Registry of Commerce" in the General Directorate of Public Registries and ordered its implementation as of August 9, 2021.
- The unified section will be renamed "Registry of Legal Entities and Commerce", which will have 2 divisions to be named: "Legal Entities" and "Commercial Acts and Contracts".
- The "Legal Entities" division will register, record or record the incorporations, amendments, dissolutions, liquidations, and other acts relating to legal entities (whether civil or commercial). Associations that have obtained legal personality by law or decree and request registration will be included for their publicity.
- In the "Mercantile Acts and Contracts" division, the following will be registered, recorded, or annotated:
1) The Commercial Registry (whether natural or legal entities). The incorporation of a commercial company shall be registered in the Legal Entities Section to obtain legal personality and in the Commercial Acts and Contracts Section to obtain the status of merchant. Natural persons shall obtain the Commercial Registry, by an order of the competent Judge sent to the General Directorate of Public Registries;
2) The communication of use of a modern system of accounting;
3) The stamping of folios or the mandatory books that demonstrate the accounting statements, and the corporate books which are optional; and
4) In general, the commercial contracts and representations provided for in the Merchant's Law and other laws applicable in this regard, as the incorporation of the E.I.R.L., the mercantile consortium, the agency, the distribution, the representation, the mandate of the factor, (manager or administrator) and of the dependent, etc.
5) The mandates granted exclusively to the Factor (Administrator or Manager) or the Dependent of the Commercial Establishment. In other cases, i.e., mandates granted by commercial companies where the factor or the dependent is not appointed to perform certain commercial acts, these shall be registered before the Registry of Powers of Attorney.
The General Directorate of Public Registries will be responsible for the regulation on the manner of conducting or organizing the registries or divisions of the office arising from the reorganization.
The purpose of the reorganization is to optimize the tasks performed by the registration officers and to properly define the registration of powers of attorney or mandates in order to reduce the registration terms.
