Geraldine Ifrán is a partner at FERRERE’s Corporate & Commercial practice group, and is member of the Mergers and Acquisitions practice. She has broad experience with corporate clients, large-scale deals involving the public sector and government corporations, joint ventures, commercial agreements, and merger and acquisition transactions.
On an everyday basis she advises corporate clients in different sectors of the economy and leads work teams in due diligence procedures, purchase transactions, restructurings and mergers. In 2014 Ifrán advised the Canadian funds Ontario Teacher’s Pension Plan Board and Public Sector Pension Investment Board on their acquisition of part of Banco Santander’s renewable energies projects in 28 entities from 9 different jurisdictions valued at over US$ 2.0 billion. In 2015 Ifrán acted as Uruguayan counsel to international food company Parmalat in the acquisition of Mexican dairy company Distribuidora de Lácteos Algil's portfolio, valued at US$ 105 million, which included 20 distribution centers and four production centers in Mexico, Uruguay and Argentina.
Ifrán is expert in Central Bank regulations and is particularly active in banking sector transactions, having played a prominent role in the recent sales of the operations of Lloyds TSB and Discount Bank in Uruguay. She also leads the FERRERE insurance and reinsurance practice. She has been involved in many of the most relevant insurance transactions in the Uruguayan market, advising leading companies in the international market on their establishment in Uruguay and obtaining operating licenses, as well as in M&A processes. For nearly 20 years Ifrán has advised companies such as MetLife, AIG, Zurich, Swiss Re, Liberty Mutual and HDI Gerling, among others, on their business with Uruguay.
As a member of the Attorneys Commission of the Uruguayan Association of Insurance Companies she participates in drafting rules for the sector and in debates on rules with the regulator. Ifrán is a director of the local chapter of Association Internationale de Droit des Assurances. She is the author of two books on regulation, Curso de Derecho de Seguros (Insurance Law Course, 2006) and El Seguro de Vida (Life Insurance, 2008).
Ifrán is an instructor in the Technical Program in Insurance organized jointly by Uruguay’s National Chamber of Commerce and Services, AUDEA and Banco de Seguros del Estado (the government insurer). She is also a professor of the Graduate Program in Insurance Law recognized by Universidad de Montevideo (Uruguay) and Pontificia Universidad Católica de Chile (Chile).
Ifrán was an instructor in Company Law at Universidad ORT (Montevideo).
