After several years of negotiations, Conimex and Traxpalco, two companies with a strong local presence that have constructed and maintained the majority of the country’s highways, announced their merger this August.
These companies began their relationship in the 1960s when they participated together in building Route 5, one of the country’s most import highways, running North-South. Over the course of the years they continued working in consortium in building the bulk of Uruguay’s highways.
In 2011, counseled by FERRERE, Conimex and Traxpalco launched a merger process. Since then FERRERE has advised them on the merger’s tax and legal implications, relationships with contractors and suppliers, preparation of necessary agreements and corporate resolutions, pertinent communications to government authorities and private entities with which the companies do business, and obtaining of all tax exemptions that can be granted by the Ministry of Economy and Finance in connection with corporate mergers.
