FERRERE advised Luciano Maggi Quartiero, executive director and majority shareholder of Camil Alimentos, a multinational leader in rice and food production in the region, headquartered in Brazil, on the indirect purchase of 80% of the Paraguayan rice company Villa Oliva Rice, with an industrial plant and 18,000 hectares of crop fields. The transaction took place with a view to a future reorganization, through direct acquisition of the Villa Oliva shares by its local subsidiary Camillatam S.A.

With a history of over 60 years, Camil produces and processes grain, sugars, canned fish, pasta and coffee, for sale under highly recognized trademarks at regional level. In the last 20 years, Camil has implemented a successful expansion through strategic acquisitions in the region to broaden its trademark portfolio, product categories and geographic areas. In the international market, as of 2007, Camil expanded its rice operations to Uruguay, Chile, Peru and Ecuador. With this acquisition, Camil has also become a strategic player in Paraguay.

FERRERE’s advice included an in depth legal analysis of the situation of the companies acquired, the design and corporate and tax structure for the deal, a regulatory analysis, restructuring of the targets’ debt, negotiation and drafting of the transaction agreements for the purchase, and planning of the subsequent corporate restructuring. FERRERE also handled the M&A control process.

The FERRERE team advising on the transaction was led by Verónica Franco, together with a broad team of practitioners including counsel Guillermo Jover and associates Raúl Pereira, Belén Ayala, Fernanda Benítez, Estefanía Baranski, Sofía Rattazzi, Mario Morales, and many others. Partner Erika Bañuelos and associate Tanya Moreno handled tax matters.
